HarborFlow Transactions Terms of Service
1. Introduction
HarborFlow Transactions ("HarborFlow," "we," "us," or "our") provides professional real estate transaction coordination services supported by the HarborFlow Transactions web and mobile application (the "App"). These Terms of Service (the "Terms") govern your use of HarborFlowTransactions.com (the "Site"), your HarborFlow account, your subscription, and your access to and use of the App and related services. By creating an account, subscribing to a plan, or using the Site or App, you agree to these Terms.
2. Services We Provide
HarborFlow provides professional, administrative transaction coordination services for real estate agents, teams, and, where applicable, brokerages. Our services may include organizing transaction documents, tracking deadlines, coordinating with title/escrow and lenders, monitoring transaction milestones, and communicating with appropriate transaction participants. The specific services provided may vary based on transaction type, state, brokerage requirements, contract terms, selected HarborFlow plan, and applicable legal or regulatory requirements.
HarborFlow also provides access to the HarborFlow App, which allows you to submit transactions, upload documents, view transaction information, monitor progress, and communicate with your HarborFlow transaction coordinator.
3. No Legal, Brokerage, or Other Professional Advice
HarborFlow does not provide legal advice, brokerage services, lending services, title services, accounting advice, or tax advice unless explicitly stated and legally permitted. Our role is to support your real estate transactions through administrative coordination. You remain responsible for your own professional obligations as a licensed real estate agent or broker and for complying with all applicable laws, regulations, brokerage policies, and contract requirements.
HarborFlow does not replace your broker, attorney, lender, title company, or other licensed professionals. You should consult appropriate professionals for legal, financial, or other specialized advice.
4. Accounts, Subscriptions, and Payments
To use HarborFlow, you may be required to create an account, select a plan, and provide accurate contact, billing, and transaction information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Subscription fees, included transaction limits, and any overage charges will be described on the Pricing or Get Started pages at the time of purchase. By subscribing, you authorize HarborFlow and its payment processors to charge your selected payment method for recurring subscription fees and any applicable taxes or overage charges, in accordance with the plan you choose.
Certain plans may automatically renew at the end of each billing period unless you change or cancel your subscription in accordance with the instructions provided in your account or on the Site.
5. Communication Methods and Consent
HarborFlow may communicate with you through SMS/text messages, telephone calls, email, in-app messages, and application notifications to coordinate transactions, provide account information, send deadline reminders, request documents, and deliver other service-related updates.
If you choose to provide a mobile phone number and separately consent to receive SMS/text messages, you agree that HarborFlow may send text messages related to your account and transactions. Message frequency varies based on your transaction activity. Message and data rates may apply. You may opt out of SMS/text messages at any time by replying STOP. For assistance, you may reply HELP.
Consent to receive SMS/text messages is not a condition of purchasing HarborFlow services. Opting out of SMS/text messages does not necessarily prevent HarborFlow from contacting you through other permitted methods such as email, telephone, or in-app communications.

6. Your Responsibilities
You are responsible for:
• Providing accurate and complete transaction information and documents
• Submitting transactions in a timely manner so deadlines can be tracked appropriately
• Reviewing documents, communications, and deadlines related to your transactions
• Complying with your brokerage policies, licensing requirements, and applicable laws
• Ensuring that any instructions you give to HarborFlow are consistent with your legal and professional obligations
HarborFlow is not responsible for decisions you make as an agent or broker, or for outcomes that depend on your professional judgment, negotiations, or legal obligations.
7. Use of the Site and App
You agree to use the Site and App only for lawful purposes and in accordance with these Terms. You may not misuse the platform, attempt to gain unauthorized access, interfere with its operation, or use it in a way that violates any law or the rights of others.
8. Intellectual Property
The Site, App, and their content, including text, graphics, logos, and software, are owned by or licensed to HarborFlow and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site and App for your own business purposes in connection with HarborFlow services.
9. Disclaimers and Limitation of Liability
To the extent permitted by law, HarborFlow provides the Site, App, and services on an "as is" and "as available" basis. We do not guarantee that the platform will be uninterrupted or error-free. HarborFlow is not liable for indirect, incidental, consequential, or special damages arising out of or related to your use of the Site, App, or services.
10. Changes, Suspension, or Termination
We may update, modify, or discontinue parts of the Site, App, or services from time to time. We may suspend or terminate your access if you violate these Terms or use the platform in a way that creates risk or potential legal exposure for HarborFlow or others.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the Effective Date at the top of the Terms. Your continued use of the Site, App, or services after changes are posted means you accept the updated Terms.
12. Governing Law
These Terms are governed by the laws of the state or jurisdiction where HarborFlow is organized or primarily operates, without regard to conflict-of-law principles.
